Terms of Service

Last Updated: December 03, 2025

Introduction

These Terms of Service ("Terms") govern your access to and use of the Doma Protocol (or the “Protocol” or “protocol”), website, and related services (collectively, the "Services") provided by the Foundation ("we", "us", "our"), a Cayman Islands foundation company.

The Doma Protocol is a purpose-built blockchain designed to enable DomainFi and revolutionize the traditional domain landscape by transforming domains into programmable, blockchain-based assets. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

The Doma Protocol operates solely as a decentralized smart-contract system enabling tokenization, fractionalization, and protocol-level utilities for supported domain names. Doma does not buy, sell, broker, or custody domain names, and all marketplace activity occurs through independent registrars or platforms that integrate with the Protocol.

Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet all eligibility requirements. If you are accessing or using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

The Doma Protocol and DomainFi

Nature of the Protocol

The Doma Protocol is a decentralized blockchain protocol specifically designed for DomainFi applications. DomainFi refers to the integration of domains with decentralized finance capabilities, allowing domains to function as programmable, blockchain-based assets with enhanced utility, liquidity, and value.

Protocol Capabilities

The Doma Protocol enables:

  • Transformation of traditional domains into on-chain, programmable assets
  • Creation of liquid markets for domain name trading and investment
  • Development of decentralized applications (dApps) utilizing domain-based assets
  • Implementation of smart contracts that leverage domain ownership and attributes
  • Secure and transparent domain transactions with blockchain verification

Protocol Operation

The Doma Protocol operates autonomously based on its underlying code. We do not control the blockchain or transactions conducted through the protocol. Once deployed, the smart contracts and blockchain operations function based on their programming.

User Control and Responsibility

You are solely responsible for:

  • Maintaining the security of your wallet and private keys
  • Understanding the risks associated with blockchain technology and DomainFi
  • Verifying all transaction details before submission
  • Understanding that blockchain transactions are typically irreversible
  • Ensuring you comply with all applicable laws and regulations when using the Services
  • Conducting due diligence on domain-based assets before engaging in transactions

Wallet Integration

Connecting Your Wallet

To interact with the Doma Protocol and participate in DomainFi activities, you need to connect a compatible cryptocurrency wallet. By connecting your wallet, you agree to be bound by these Terms and any applicable terms of your wallet provider.

Security

You are responsible for maintaining the security of your wallet and private keys. We are not responsible for any loss of access to your wallet, loss of private keys, or unauthorized transactions.

Programmable Domain Assets

Domain Asset Functionality

The Doma Protocol enables domains to function as programmable assets that can:

  • Be bought, sold, and traded on the protocol
  • Serve as collateral for DomainFi applications
  • Generate yield through various protocol mechanisms
  • Integrate with other blockchain applications and services
  • Be fractionalized or bundled based on protocol capabilities

Domain Ownership Rights

While the Doma Protocol enables blockchain-based transactions of domain assets, users must understand:

  • The relationship between on-chain domain assets and traditional domain registrations
  • Any limitations on rights transferred through protocol transactions
  • The potential need for additional steps to complete domain ownership transfers in traditional registry systems
  • The protocol represents domain assets but may not itself confer legal title to domains

Proxy Custodial Function

When a domain is fractionalized through the Doma Protocol, or when it has been transferred to a new on-chain address (including for fractionalization, on-chain sale or any other contract/wallet) and the new owner has not yet claimed the domain, the domain is placed into the Doma Proxy Solutions registrant account for the limited purposes of technical enforcement, DNS stability, and ICANN compliance. During this period, the Proxy serves as the registrant of record / Registered Name Holder (“RNH”) solely to perform ICANN-required registrant functions. While acting as the RNH on behalf of the beneficial owner, the Proxy may update DNS records only to the extent required by Protocol-defined configuration or the operation of associated smart contracts. The Proxy does not obtain any beneficial ownership or economic rights in the domain during this period, and is restricted from initiating transfers, selling the domain, or making discretionary DNS changes unrelated to Protocol-required functionality. Registrant control automatically returns to the lawful beneficial owner once (a) all Tokenized Interests have been redeemed, or (b) a purchaser claims the domain pursuant to the Protocol’s smart-contract rules.

To mitigate unintended expiration while the Proxy is serving as RNH, the Protocol may implement one or more renewal-funding mechanisms (such as owner-funded renewal wallets, Protocol-authorized renewal funds, or other on-chain processes). These mechanisms may also support renewal where no single beneficial owner exists (e.g., 100% fractionalized domains). Such mechanisms are intended to protect continuity and Tokenized Interest holders, but do not create any financial obligation, fiduciary duty, or renewal guarantee on the part of D3 or the Proxy. The beneficial owner (or, in the case of fully fractionalized domains, the Protocol-designated renewal mechanism) is ultimately responsible for ensuring timely renewal of the domain. If renewal funding is not available, the domain may expire, and Tokenized Interests may be extinguished, unless the Proxy elects to renew the domain and assume beneficial ownership in accordance with Protocol-governed rules for unclaimed or expired names.

Protocol-Issued Subdomains

Token holders may receive optional protocol-level subdomain utilities tied to on-chain positions. These subdomains do not grant DNS authority, hosting rights, nameserver access, or operational control of the domain. They are non-authoritative identifiers created within the Protocol, and they automatically disappear when the domain is redeemed or reclaimed. No protocol-issued subdomain rights or utilities survive full redemption or reclamation of registrant control.

Redemption Requirements

Any full transfer of registrant control of a tokenized domain requires on-chain redemption of all outstanding Tokenized Interests. All settlement amounts, including redemption or repurchase, are determined solely by the Protocol’s smart contract-determined pricing mechanism at the time of execution. Off-platform purchase agreements do not override the Protocol’s redemption rules.

Marketplace Independence and Third-Party Platforms

Registrars and marketplaces that integrate with the Protocol (“Marketplace(s)”) operate independently from the Foundation. Marketplaces, not the Foundation, are responsible for domain registration services, pricing, listings, custody solutions, user onboarding, and any compliance obligations. Use of Marketplace features may require acceptance of Marketplace-specific terms in addition to these Terms.

You agree not to:

  • Violate any applicable law, regulation, or third-party rights
